This Service Agreement is entered into and has contractual effect between the Company and a registered supplier (” You “or” Registered Supplier “or” Supplier “or” Seller “) who intends to set up shop on the Company Platform as an independent third party operator. The terms and conditions set forth in this Service Agreement apply to the use of various tools and services of scostar.com registered suppliers. When you agree to this Service Agreement, this Service Agreement becomes legally binding between you, the supplier you represent and scostar.com.
The ways in which you agree to this Agreement and other Rules include, but are not limited to: A. By clicking “I agree” or otherwise accepting; B. Oral or written representations made by E-mail, telephone, fax, instant message, etc.; C. There is a “tacit consent” clause in this Agreement and other rules (including but not limited to service description and use help, etc.), and you click to agree or actually use our services in other forms; D. Other methods agreed upon by you and us.

The content of this Service Agreement includes the text of this Agreement and all kinds of rules, usage instructions, service help, etc. that have been publicly released or may be publicly released by SCOSTAR.com in the future (hereinafter referred to as “Service Rules”). All disclosure rules are an integral part of the agreement and have the same legal effect as the body of the agreement. The rights and obligations under the service Rules shall be performed by Shanghai He Star (Hong Kong) International Trading Co., LTD. You should also read and understand the Service rules and accept them.
SCOSTAR.com reserves the right to make and modify this Agreement or the Rules from time to time as permitted by law. In the event of any changes to this Agreement, SCOSTAR.com will, in accordance with applicable laws, publicly solicit comments and publicize the changes on the website to notify SCOSTAR.com registered suppliers. If the SCOSTAR.com registered Provider does not agree to the changes, it must discontinue use of the Services. The amended Agreement will automatically become effective as soon as it is published on SCOSTAR.com and the statutory requirements for the publicity period are met. The various rules will also become part of this Agreement after the publication becomes effective. Login or continued use of the Services constitutes acceptance of the revised Agreement by the SCOSTAR.com Registry Provider. Unless expressly stated otherwise, any new content that expands the scope of the Service or enhances the functionality of the Site shall be subject to this Agreement.
- SCOSTAR.com supplier registration and qualification
2.1 SCOSTAR.com vendor account
2.1.1 SCOSTAR.com Supplier means an individual or organization that, through the SCOSTAR.com Supplier registration process, submits an application for certification to SCOSTAR.com and obtains permission from SCOSTAR.com to sell goods to users on the SCOSTAR.com page. SCOSTAR.com will assign the corresponding SCOSTAR.com vendor account to the SCOSTAR.com vendor.
2.1.2 The SCOSTAR.com Supplier Account is the basis on which we identify you and provide services to you. Because SCOSTAR.com vendor accounts are closely linked to your contact information and vendor business information, if you use the Services provided by us, you are responsible for maintaining the confidentiality of your login account and for restricting third party use/access to your computer or mobile device, and for ensuring that your login password (if you set it) is not disclosed to any third party.
2.2 Qualification of registered suppliers of SCOSTAR.com
2.2.1 scostar.com Registered suppliers must be entities or individuals with legal business qualifications and meet scostar.com’s business qualification audit conditions for suppliers:
(1) Suppliers shall hold market entity registration in accordance with the law;
(2) If the goods or services sold by the supplier need to obtain the administrative license of the relevant business entity or the business of the goods or services, the relevant supplier and such specific goods or services shall obtain the administrative license according to law;
(3) The registration qualifications of the above-mentioned market entities and the administrative licenses for goods and services have been reviewed and approved by SCOSTAR.COM, and have passed regular verification by SCOSTAR.COM;
(4) The operator completing the SCOSTAR.COM supplier registration process and the operator engaging in transactions on SCOSTAR.COM in the name of the supplier must have the legal authorization of the supplier to act on its behalf and be a natural person with full civil capacity.
2.2.2 If a company registered as a supplier of SCOSTAR.COM fails to comply with any of the provisions of Paragraph 2.2.1 above, upon discovery, SCOSTAR.COM reserves the right to immediately suspend all access to the SCOSTAR.COM account of the supplier, and the losses arising therefrom shall be borne by such supplier. SCOSTAR.COM also reserves the right to hold suppliers accountable for any losses and other legal liabilities caused to SCOSTAR.COM by the use of the “Services” of SCOSTAR.COM.
2.3 Supplier qualification Certification Rules
2.3.1 General qualification requirements and descriptions
(1) Have registered and obtained a SCOSTAR.COM registered vendor account;
(2) The natural person must be between the ages of 18 and 70 and be a Chinese citizen with full capacity for civil conduct;
If it is a natural person, it should be a natural person with full capacity for civil conduct; The Company is capable of performing its obligations under this Agreement and such performance does not violate any limitation of legal documents binding on the Supplier.
(5)SCOSTAR.com has the right to review the supplier’s certification information and decide whether to approve the supplier’s certification application. If the supplier is certified by SCOSTAR.com, SCOSTAR.com will provide the supplier with a product display page on SCOSTAR.com (” Product Page “); After meeting the SCOSTAR.com Store application procedures, SCOSTAR.com will provide Supplier with a store page (” Store page “). Supplier shall have the right to maintain the product page or store page, which shall be prominently displayed on the home page of the product/store page. Continue to publicize the business license information, administrative license information related to its business (if any), or the link identification, business address, telephone email and other effective contact information of the above information, and timely update the publicity information when the above information changes; If the supplier is a natural person, it shall agree that SCOSTAR.com has the right to load in a prominent position on the front page of the supplier’s store, in accordance with the law, the identification of the authenticity and legality of the personally identifiable information and the explanation that the registration of market entities is not required.
(6) The Supplier fully understands and agrees that SCOSTAR.com has the right to truthfully disclose the certification materials and other necessary information provided to SCOSTAR.com on the SCOSTAR.com platform to third parties (including but not limited to users, market supervision and administration authorities, tax authorities, etc.) in accordance with relevant laws and regulations and the rules of the Platform.
(7) For the sake of clarity, the certification conducted by SCOSTAR.com does not exempt the supplier from the legal and contractual obligations of the seller in respect of the quality of the goods/services provided by the supplier and the warranty for defects in rights, etc. If the certification materials provided by the supplier are untrue, false, forged, expired, incomplete or otherwise defective, The Supplier shall indemnify SCOSTAR.com and other SCOSTAR.com users for all losses incurred as a result, and SCOSTAR.com shall have the right to terminate this Agreement immediately and remove the Supplier and its information from the appropriate SCOSTAR.com interface.
(8) If one or more of the supplier’s certification information except the main information is changed or has expired, incomplete or other defects, it shall immediately change or supplement the information; SCOSTAR.com reserves the right to check from time to time whether the supplier’s certification information is true, valid and complete. If SCOSTAR.com finds that the supplier’s information has not been changed or supplemented in a timely manner, SCOSTAR.com reserves the right to suspend the provision of services and request the supplier to update the information. The risks, losses and consequences arising therefrom will be borne by the Supplier itself, and SCOSTAR.com reserves the right to remove the Supplier’s information from the corresponding SCOSTAR.com interface and suspend or terminate the service provided to it, and the resulting losses shall be borne by the Supplier itself.
2.3.2 Number of Registered accounts
(1) The number of business seller accounts registered with the same business license shall not exceed 10;
(2) The number of individual seller accounts registered with the same identity information is limited to 1.
2.3.3 Certification information compliance
(1) Store name compliance
If the seller’s user name violates the following specifications, we have the right to modify the seller’s user name or close the store according to the scope and severity of the influence:
(A) The use of the state name of China, national flag, national emblem, military flag, MEDALS and the name of a specific place where the central state organ is located or the name of a landmark building, unless the name of the enterprise itself contains the above content;
B. The name of a foreign country shall not be used only;
C. It shall not contain information that violates national laws and regulations, infringes the rights of others or interferes with the operation order of the website of Shanghai He Star;
(D) Only geographical names of administrative divisions above the county level or foreign geographical names known to the public shall not be used
E. There shall be no exaggerated propaganda and deceptive circumstances
F. Shall not contain obscene, insulting, discriminatory or aggressive words;
G. Language or other objectionable language containing ethnic, racial, hateful, sexual and obscene messages shall not be included
H. There should be no ambiguity, enough to mislead users or infringe on the legitimate rights and interests of other users and third parties;
I. cannot contain contact information, including email address, web address, telephone number, QQ number, MSN address, etc.;
J. Can not contain third-party brand words (including the official name of the star SCOSTAR.com), celebrity names, etc.;
K. cannot contain misleading words, such as “PowerSeller”, “TopSeller”, etc.;
L. There shall be no infringement of the registered trademark rights of others;
M. a store founded by an individual, but the name contains “company/group” or other words, misleading users to believe that the store is actually founded or controlled by the enterprise;
N. The content of the name shall not violate the requirements of existing laws, regulations and regulatory documents.
(2) Identity information compliance
Business sellers should submit the following information to SCOSTAR.com for authentication:
A. Business license information (should contain “unified social credit code number”);
B. E-mail address;
C. Valid contact person;
D. Valid contact mobile phone number;
E. Valid contact address/business address;
F. Certificate of registration of market entities according to law (except for individuals selling self-produced agricultural and sideline products and cottage industry products, individuals using their own skills to engage in convenient labor activities and small and sporadic transactions that do not require permission according to law, and do not require registration according to laws and administrative regulations)
G. If the commodity to be released needs to obtain the relevant administrative license according to law, the administrative license shall be submitted to SCOSTAR.com, as specified in the “Business Category Management Rules”.
H. Where the seller of the commodity to be released requires the seller to obtain an administrative license according to law, the seller shall submit the administrative license to SCOSTAR.com, as specified in the “Business Category Management Rules”.
If the business seller does not obtain the above business or product qualification license, SCOSTAR.com reserves the right to immediately block, delete the relevant product or business store page, or freeze the relevant business seller account if the business seller qualification license or product qualification license is found to be lacking or incomplete.
I. Other information requested by SCOSTAR.com.
J. The registrant must be a legal person of the registered company or a full representative authorized by the company to operate the relevant business shop. For details, see the Power of Attorney Style.
K. The registered company is the holder and fully responsible person of the seller’s account on the Shanghai Cooperation Star website.
L. The seller’s and registrant’s personal information shall be true, valid and complete.
Individual sellers should submit the following information to SCOSTAR.com for authentication:
A. ID card information;
B. E-mail address;
C. Valid contact mobile phone number;
D. Valid contact address/business address;
E. The certificate of registration of market entities according to law. If registration is not required, the Declaration and Commitment of not requiring registration of market entities shall be issued;
F. Where the relevant administrative license is required by law for the commodity to be released, the administrative license shall be submitted to SCOSTAR.com.
G. Where the seller of the goods to be released requires the seller to obtain an administrative license according to law, the administrative license shall be submitted to SCOSTAR.com.
If the individual seller does not obtain the above subject or product qualification license, SCOSTAR.com reserves the right to immediately block, delete the relevant product or individual store page, or freeze the relevant individual seller account if the individual seller qualification license or product qualification license is found to be lacking or incomplete.
H. Other information requested by SCOSTAR.com.
I. The registrant must be the account holder and fully responsible.
2.3.4 Payment of Certification Fee: The supplier shall pay the certification fee in accordance with the process specified by SCOSTAR.com. Failure to pay the certification fee shall be deemed as abandonment of the certification application.
2.4 Responsibility for supplier account and activities under the account
2.4.1 The Supplier shall assume full responsibility for all activities arising under the registered account. If the account is used or controlled by a third party not due to the intentional or fault of SCOSTAR.com, the supplier shall bear the relevant legal liability and loss.
2.4.2 In order to avoid disputes, the Supplier shall not transfer the Supplier account for payment or free of charge without the prior consent of SCOSTAR.com. Otherwise, it shall bear its own responsibility for any resulting liability, and SCOSTAR.com reserves the right to hold the above-mentioned perpetrators legally responsible.
3.SCOSTAR.com Rights and obligations of registered suppliers
3.1 Truthfully provide and update supplier information
SCOSTAR.com registered suppliers are obliged to provide their true information in accordance with the requirements of SCOSTAR.com at the time of registration, update the relevant information in a timely manner, and ensure the validity and security of content such as E-mail address, contact telephone number, contact address, postal code, etc. We ensure that SCOSTAR.com and other purchasers of SCOSTAR.com (” Purchasers “or” Purchasers “) can contact us through the contact details above. Registered suppliers of SCOSTAR.com shall guarantee not to use unauthorized third party information on the SCOSTAR.com registration or authentication, otherwise the resulting losses of third parties and SCOSTAR.com shall be borne by such registered suppliers of SCOSTAR.com.
3.2 Authorize SCOSTAR.com to light up
The SCOSTAR.com registered supplier shall authorize and cooperate with SCOSTAR.com to continuously publicize the business license information, administrative license information related to its business or the link identification of the above information in a prominent position on the homepage of the registered supplier, and update the publicity information in a timely manner when the said information changes. The specific form of publicity shall be based on the uniform standards published by SCOSTAR.com.
If the registered supplier is not required to register as a market entity according to law and provides relevant explanations and commitments, SCOSTAR.com has the right to explain or display special logos in a prominent position on the homepage of the registered supplier.
3.3 Intellectual property protection obligations
3.3.1 Supplier Information of registered Suppliers of SCOSTAR.com (” Supplier Information “) includes any information provided to SCOSTAR.com or other users in the course of account registration, trading or product Posting, in any public forum or by email, email or other form, Including but not limited to supplier information, product information, any data, text, software, music, sound, photographs, drawings, images, words or other materials provided in Section 3.1. Registered Supplier shall warrant that its Supplier Information and other releases will not infringe the intellectual property rights or other legitimate rights and interests of any third party, will not violate any law, regulation, ordinance or regulation and will be fully responsible for them, and that SCOSTAR.com will only serve as a channel for your online Posting and publication of Supplier information and other releases. Registered suppliers of SCOSTAR.com shall not use SCOSTAR.com to produce, copy, publish, and disseminate information prohibited by laws and administrative regulations in relation to services provided by generative AI. They shall not use relevant services to engage in activities prohibited by laws and administrative regulations such as endangering national security and interests, damaging national image, infringing on social public interests, disrupting economic and social order, and infringing on the legitimate rights and interests of others. However, if SCOSTAR.com believes that the Posting of any such information by the Supplier may subject SCOSTAR.com to any legal or moral liability, or may cause SCOSTAR.com to lose (in whole or in part) the service of SCOSTAR.com’s Internet service provider or other provider, SCOSTAR.com may, in its sole discretion, take any action with respect to Supplier Information and posted information that SCOSTAR.com deems necessary or appropriate, including but not limited to blocking or deleting such information. The SCOSTAR.com Registered Supplier warrants and confirms that it has all rights, including all Copyrights, to the Supplier materials submitted to SCOSTAR.com and other published information; SCOSTAR.com has no responsibility to determine or determine what information submitted to SCOSTAR.com by registered suppliers is protected, and SCOSTAR.com is not responsible for the use of publicly available Supplier information and other published information by other users of the Service or by other third parties.
3.3.2 The SCOSTAR.com platform prohibits the sale and display of products that infringe intellectual property rights. SCOSTAR.com is committed to the protection of intellectual property rights and is willing to cooperate with law enforcement authorities and intellectual property rights holders in the management of goods registered on SCOSTAR.com and uploaded or displayed.
3.3.3 SCOSTAR.com is committed to fulfilling its intellectual property protection obligations under the Electronic Commerce Law and is willing to cooperate with intellectual property rights holders to solve relevant problems. SCOSTAR.com has developed Intellectual Property Protection Rules and an intellectual property rights holder certification program to make it easier for intellectual property rights holders to report items that violate their rights. In view of the fact that infringing goods will damage the trust of purchasers and honest suppliers, SCOSTAR.com will take reasonable measures to protect the legitimate rights and interests of intellectual property rights holders in accordance with relevant laws.
3.4 Fees
3.4.1 In particular, supplier quotations for all products entered into the SCOSTAR.com website include a SCOSTAR.com commission and bank turnover charges incurred upon successful transactions (see the “Help” information on the SCOSTAR.com supplier page for specific percentages and pricing methods). SCOSTAR.com registered suppliers have the responsibility and obligation to maintain and modify the price information in real time according to the actual situation. Due to the product price or other product information error, product update is not timely and other reasons cause the transaction cannot be executed or cause losses to others, all the consequences of the liability shall be borne by the registered supplier of SCOSTAR.com.
3.4.2 As a neutral technical service provider, the Platform only provides information release, deal making and technical support services, and does not directly participate in trading activities. The Platform does not guarantee, express or implied, the conduct of transactions between suppliers and purchasers.” Registered Providers are solely responsible for paying all taxes and office expenses incurred by registered Providers in connection with the use of SCOSTAR.com for transactions, paid services or access to SCOSTAR.com web servers.
3.4.3 SCOSTAR.com reserves the right to charge you for the services. The specific charging rules will be notified to you in advance and displayed on the SCOSTAR.com related Rules page.
3.5 Product release and order fulfillment
3.5.1The goods or services provided by registered suppliers on the SCOSTAR.com trading platform shall meet the requirements of protecting personal and property safety and environmental protection. Do not sell or offer prohibited or restricted items, do not buy or sell anything that may cause SCOSTAR.com to violate any applicable law, rule, ordinance or regulation, do not buy or sell items that infringe on the intellectual property rights or other legitimate interests of others, You are also not allowed to buy or sell items that are contrary to the public interest or public morals of the community, or that SCOSTAR.com considers unsuitable for sale on SCOSTAR.com. If SCOSTAR.com finds that products sold by suppliers do not comply with the rules of the SCOSTAR.com Platform, SCOSTAR.com has the right to immediately remove, block, delete links to such products, and impose penalties on the SCOSTAR.com supplier.
3.5.2 Registered suppliers selling goods or providing services shall issue purchase vouchers or service documents such as paper invoices or electronic invoices according to law. Electronic invoices have the same legal effect as paper invoices.
3.5.3 Registered suppliers shall disclose commodity or service information in a comprehensive, true, accurate and timely manner to ensure the purchaser’s right to know and choice. It is not allowed to conduct false or misleading commercial publicity in the form of fictitious transactions, fabricating user evaluations, etc., to deceive or mislead buyers. Sending advertisements to buyers shall comply with the relevant provisions of the Advertising Law of the People’s Republic of China.
3.5.4 The tying of goods or services by registered suppliers shall be brought to the attention of purchasers in a prominent manner and shall not be used as an option for tacit consent.
3.5.5 The supplier shall deliver the goods or services to the purchaser in accordance with the manner and time limit promised or agreed with the purchaser, and bear the risks and responsibilities in the transportation of the goods. However, unless the purchaser chooses another Courier logistics service provider or other contrary provisions of the applicable law.
3.5.6 The Supplier shall supply to the Purchaser in accordance with the order legally effective on the platform of SCOSTAR.com, including the delivery time, place, quantity, configuration, quality, price and other terms of trade. The supplier is responsible for the quality, safety and legality of the product, including the relevant compulsory certification and intellectual property rights.
3.5.7SCOSTAR.com Registered Supplier shall, upon receipt of the order payment notification from SCOSTAR.com, begin to prepare the goods and deliver the goods as scheduled in accordance with the terms of the order. When the purchaser receives the goods and confirms that they are correct, SCOSTAR.com will make a loan operation to the supplier. SCOSTAR.com registered suppliers are obliged to submit a payment application to SCOSTAR.com after confirming the delivery of the goods to the freight company, and SCOSTAR.com will make a loan operation to the supplier after verifying that the goods are correct. In case of trade disputes arising out of quality, quantity and other terms, the buyer and the seller shall settle the disputes through negotiation or through arbitration, litigation and other means permitted by law. Upon resolution of the dispute, SCOSTAR.com will settle in accordance with the award or judgment or an agreement between the parties.
3.5.8 The registered supplier of SCOSTAR.com shall maintain communication with SCOSTAR.com at any time, confirm whether the goods are properly delivered after sending the goods, and keep the shipping record, so that it can provide adequate evidence when the payment is withdrawn by Paypal. So that SCOSTAR.com can help suppliers coordinate this situation.
3.5.9 The supplier shall be responsible for the after-sales service of the product, and the content of the after-sales service shall be subject to the order information. The supplier shall bear the costs arising from the after-sales service during the warranty period.
3.6 Protection of Personal information
3.6.1 SCOSTAR.com registered suppliers shall comply with the applicable laws, administrative regulations and the provisions of SCOSTAR.com on the protection of personal information if they collect and use the personal information of purchasers.
3.6.2 The contact name, contact number, ID card number, business license number, uniform social credit and related verification information submitted to SCOSTAR.com by the registered supplier in accordance with the SCOSTAR.com Service Rules are necessary for the registered supplier to fulfill its legal obligations for the certification of supplier information In order to verify the authenticity of supplier data, SCOSTAR.com has the right to submit such verification data to third parties and verify its authenticity, and such verification shall not be deemed to be a breach of the corresponding personal information protection obligations of SCOSTAR.com.
3.6.3 In order to fulfill the needs of laws and regulations or regulatory authorities, SCOSTAR.com has the right to submit your above identity information and tax-related information to the appropriate regulatory authorities or their authorized agencies, and such information submission shall not be deemed as a violation of the corresponding personal information protection obligations of SCOSTAR.com.
3.6.4 The SCOSTAR.com Registered Supplier agrees to receive business promotion information from the SCOSTAR.com website.
3.7 Obligation of fair competition
3.7.1 The supplier of SCOSTAR.com shall ensure that in the process of trading on the SCOSTAR.com online wholesale trading platform, it shall abide by the principle of good faith, not abuse its dominant market position, not take unfair competition acts in the process of trading, not disturb the normal order of online trading, and not engage in acts unrelated to online trading. You may not use the SCOSTAR.com trading platform to maliciously evaluate SCOSTAR.com registered purchasers or other registered suppliers, or take improper measures to enhance your own credit rating or reduce the credit rating of SCOSTAR.com registered purchasers or other registered suppliers.
3.7.2 The SCOSTAR.com Registered Supplier agrees not to make commercial use of the information and materials on the SCOSTAR.com website, including but not limited to the reproduction, dissemination and other use of any materials displayed on the SCOSTAR.com Website without the prior written approval of SCOSTAR.com.
3.8 Non-infringement obligations
3.8.1The registered supplier of SCOSTAR.com undertakes to comply with the laws and regulations of the country where the transaction takes place and the relevant provisions of SCOSTAR.com, as well as various social public interests or public morals when using Scostar.com. For the occurrence of any legal consequences, the SCOSTAR.com registered supplier will bear all corresponding legal responsibilities in its own name.
3.8.2 The Registered Supplier of SCOSTAR.com agrees that if SCOSTAR.com suffers any loss, is subject to any claim of any third party, or is punished by any administrative authority due to its violation of the relevant laws or provisions of this Agreement or infringement of the rights of a third party, The SCOSTAR.com registered Supplier shall indemnify SCOSTAR.com for all losses caused to Scostar.com.
3.8.3 The Supplier promises that all product information, pictures, videos and other content published by it are original or have been legally authorized. In case of intellectual property disputes caused by the content provided by the supplier, the supplier shall bear all legal responsibilities and compensate the platform for the losses thus suffered.”
3.9 Non-straddling obligations
3.9.1 The supplier guides the customer to bypass the SCOSTAR.com platform for offline transaction or no sale, which constitutes a serious violation of the Service Agreement, including but not limited to: leaving its own contact information on the product description page or product pictures; Make inquiries and reply with their own contact information; Directly or indirectly asking or leaving their own contact information in the message to the buyer, as well as leaving their own contact information by various means when mailing the goods, so as to achieve the purpose of offline transactions. If found, SCOSTAR.com will, depending on the circumstances, take the following action against SCOSTAR.com suppliers:
(1) Give the supplier a warning penalty
(2) Remove the supplier’s illegal products from the shelves (delete the information that does not meet the requirements)
(3) Delete the supplier’s products that do not comply with the rules of the platform
(4) Deduct the supplier’s credit score on the SCOSTAR.com platform
(5) Block the supplier’s account on the SCOSTAR.com platform
(6) Close the supplier’s account on the SCOSTAR.com platform
- Rights, responsibilities and obligations of the SCOSTAR.com website
4.1 SCOSTAR.com only provides product display and online wholesale trading platform for registered suppliers of this website; However, SCOSTAR.com is not directly involved in the transaction itself as a buyer or supplier. SCOSTAR.com cannot ensure the authenticity, accuracy, legality and validity of the purchaser and related information, or the ability of the parties to fulfill their obligations under the trade Agreement, but SCOSTAR.com will take steps to monitor and evaluate the purchaser and make the results of the assessment public. 4.4 SCOSTAR.com reserves the right to delete relevant information, freeze accounts, terminate services, etc. at any time in case of improper or illegal behavior on the SCOSTAR.com online trading platform or any other situation that SCOSTAR.com deems should terminate services. The consent of SCOSTAR.com’s registered provider is not required.
4.5 Due to the particularity of the online trading platform, except for mandatory provisions of laws and regulations, SCOSTAR.com has no obligation to conduct prior review of all transactions and other matters related to transactions of all registered suppliers of SCOSTAR.com, except in the following circumstances:

4.8 If registered suppliers find that other registered suppliers have violated the law or violated the Service Agreement, they can report to SCOSTAR.com. If the registered supplier has a dispute with another registered purchaser of SCOSTAR.com in the course of trading on SCOSTAR.com, and the purchaser requests SCOSTAR.com to coordinate and resolve the dispute, The Parties shall agree to allow SCOSTAR.com to inspect the original contracts, transaction records and communication records of the parties on the Platform, and accept and implement the coordinated decisions of SCOSTAR.com. In case of litigation between SCOSTAR.com registered suppliers and other SCOSTAR.com registered suppliers or purchasers due to online transactions, SCOSTAR.com registered suppliers have the right to request SCOSTAR.com to provide relevant information through the judicial department.
4.9 SCOSTAR.com registered suppliers have the right (but not the obligation) to mediate and settle disputes with purchasers arising from transactions on SCOSTAR.com if purchasers request SCOSTAR.com to mediate and settle such disputes. 4.11 If it is confirmed by the national effective legal document or administrative penalty decision that the registered supplier of SCOSTAR.com has violated the law, or SCOSTAR.com has sufficient factual or legal basis to determine that the registered supplier of SCOSTAR.com has violated the law or service agreement, SCOSTAR.com reserves the right to publish violations of SCOSTAR.com registered suppliers on the SCOSTAR.com website in the form of a web Posting.

SCOSTAR.com reserves the right to remove or take other restrictive measures without notice to the SCOSTAR.com registered provider.
4.13 License to use.

4.15 Disclaimer
Registered Suppliers of SCOSTAR.com expressly understand and agree that SCOSTAR.com shall not be liable for any damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising from any of the following:
4.15.1 Use or failure to use SCOSTAR.com services;
4.15.2 Unauthorized access by third parties or changes by third parties to your transmitted data or data;

- Interruption and termination of services

5.2.3 For trade orders generated by registered Suppliers during the term of this Agreement, SCOSTAR.com may close such trade orders and may, in its sole discretion, refund the fees or deduct the relevant fees as liquidated damages.
5.3 SCOSTAR.com reserves the right to terminate the Services by deregistering the SCOSTAR.com registered Provider in the following cases:
5.3.1 SCOSTAR.com reserves the right to suspend or terminate the provision of services to the SCOSTAR.com registered Provider in the event that the provider breaches the relevant provisions of this Service Agreement. SCOSTAR.com will notify the SCOSTAR.com registered provider in the event of a service interruption. 5.3.2 If SCOSTAR.com finds that the email address filled in by the SCOSTAR.com registered supplier no longer exists or cannot receive email when contacting the SCOSTAR.com registered supplier through the information provided by the SCOSTAR.com registered supplier, SCOSTAR.com reserves the right to terminate the provision of services to the registered provider of SCOSTAR.com if the registered provider of SCOSTAR.com fails to provide the new email address within three working days after the change has been notified by SCOSTAR.com to the registered provider of SCOSTAR.com by other contact means;
5.3.3 SCOSTAR.com reserves the right to terminate the provision of services to the registered supplier of SCOSTAR.com at any time in the event that SCOSTAR.com finds any false content in the supplier profile of the registered supplier of SCOSTAR.com;

5.4 Handling of transactions of SCOSTAR.com registered suppliers before service interruption and termination
If the registered supplier of SCOSTAR.com breaks or terminates its services to the registered supplier of SCOSTAR.com due to violation of laws and regulations or violation of the provisions of the service agreement, the transactions of the registered supplier of SCOSTAR.com before the service interruption or termination shall be handled in accordance with the following principles:

- Restrictions on using SCOSTAR.COM
When using scostar.com, you must not:
6.1 Posting content or articles in inappropriate categories or in inappropriate places on the Site or Services;
6.2 Violate any law, the rights of third parties, or our policies (such as contraband and controlled Substances policies);
6.3 Use our Website or Services if you are unable to enter into a binding contract, are under the age of 18, or have been temporarily or indefinitely suspended from the Website;

- Force Majeure
8.1 SCOSTAR.com shall not be liable for any delay or failure to perform or complete performance of this Agreement due to reasons beyond its reasonable control. - Liability and compensation for breach of contract

- Application of law and dispute resolution

- Other provisions

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

11.3 The failure of SCOSTAR.com to act with respect to a breach by a SCOSTAR.com registered supplier or other person does not waive the right of SCOSTAR.com to act with respect to subsequent or similar breaches.
